Conflict of Interest

Zholistic Life Foundation (“ZLF,” “we,” “our,” or “us”) is committed to conducting its work with integrity, transparency, and accountability. This Conflict of Interest & Ethics Policy establishes standards of ethical conduct and outlines expectations for identifying, disclosing, and addressing potential conflicts of interest.

This policy applies to members of the Board of Directors, officers, employees, volunteers, committee members, and any individual acting on behalf of Zholistic Life Foundation.

Ethical Standards

All individuals representing Zholistic Life Foundation are expected to act in a manner that upholds the organization’s mission, values, and public trust. Ethical conduct includes:

  • Acting honestly and in good faith

  • Placing the interests of Zholistic Life Foundation above personal or financial gain

  • Avoiding situations that compromise—or appear to compromise—objectivity or integrity

  • Using organizational resources responsibly and for authorized purposes only

Definition of Conflict of Interest

A conflict of interest occurs when an individual’s personal, professional, financial, or relational interests could interfere with, influence, or appear to influence their ability to act in the best interest of Zholistic Life Foundation.

Conflicts may be actual, potential, or perceived.

Examples may include, but are not limited to:

  • Financial interests in organizations doing business with ZLF

  • Personal or family relationships that could influence decision-making

  • Employment, consulting, or board service with entities that intersect with ZLF activities

  • Acceptance of gifts or benefits that could affect impartial judgment

Disclosure Requirements

Individuals covered by this policy are required to disclose any actual or potential conflicts of interest promptly and in good faith.

Disclosures should be made:

  • Upon appointment or engagement

  • Annually, as requested

  • As soon as a potential conflict arises

Disclosures must be submitted to the appropriate leadership or governing body as designated by Zholistic Life Foundation.

Management of Conflicts

When a conflict of interest is disclosed or identified:

  • The individual with the conflict may be asked to recuse themselves from related discussions, decisions, or votes

  • The governing body or designated authority will review the disclosure and determine appropriate action

  • All decisions will be documented in accordance with governance practices

Zholistic Life Foundation will take reasonable steps to ensure decisions are made in the best interest of the organization.

Prohibited Conduct

The following actions are prohibited:

  • Using organizational position for personal gain

  • Engaging in transactions that improperly benefit an individual at the expense of ZLF

  • Failing to disclose known conflicts of interest

  • Accepting gifts, favors, or compensation that could influence decision-making

Duty of Loyalty and Care

All individuals acting on behalf of Zholistic Life Foundation owe a duty of loyalty and care to the organization. This includes acting with diligence, prudence, and attention to the mission and long-term sustainability of the Foundation.

Reporting Concerns

Any individual who becomes aware of a potential conflict of interest or unethical conduct is encouraged to report the concern promptly and in good faith.

Zholistic Life Foundation prohibits retaliation against individuals who report concerns in good faith.

Enforcement

Violations of this policy may result in corrective action, up to and including removal from board service, volunteer roles, partnerships, employment, or other affiliations with Zholistic Life Foundation.

Policy Review and Updates

This policy will be reviewed periodically to ensure continued alignment with legal requirements, nonprofit best practices, and organizational values. Updates will be posted on this page with a revised effective date.
